How an enquiry becomes a contract with VERTEX GmbH, and which document governs the delivery.
Business with commercial customers
VERTEX GmbH supplies commercial customers, public sector bodies and special funds under public law. We do not sell to consumers within the meaning of section 13 of the German Civil Code.
Quotations and order confirmation
Information on this website is a description of our range of supply and services. It is not a binding offer. A contract is formed when we confirm an order in writing, or when we execute the delivery.
Every quotation states the scope of supply, the technical configuration, the delivery time and the commercial terms applicable to that specific case. Technical data for a specific configuration is binding only in the form stated in the quotation and the order confirmation, not in the form of the product descriptions on this website.
General terms and conditions of sale and delivery
Our deliveries and services are performed on the basis of our general terms and conditions of sale and delivery. They form part of every quotation and order confirmation and are supplied with those documents.
The version currently in force can be requested at any time at purchasing@vertex-group.de and will be sent to you in text form. Terms and conditions of the customer that conflict with or deviate from ours apply only if we have agreed to them expressly and in writing.
Manufacturer documentation and third-party products
For products we supply as a distributor, the manufacturer's documentation, specification and warranty conditions apply in addition to our own terms. Approval documents, certificates and declarations of conformity are supplied with the equipment.
Applicable law and place of jurisdiction
Contracts with VERTEX GmbH are governed by the law of the Federal Republic of Germany, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods. The place of performance and, where legally permissible, the place of jurisdiction is Krefeld, Germany.
